Introduction

This agreement is entered into by Polepreneur LLC, located at [Address], and [Client Name], located at [Address], on [Date]. The purpose of this agreement is to outline the terms and conditions under which Polepreneur LLC will provide dance fitness business consulting services to the Client.

 

Scope of Services

Polepreneur LLC will provide the following services to the Client:

 

Marketing and advertising strategy development

Studio management and operations guidance

Financial planning and budgeting

Class scheduling and staffing advice

Customer service and retention strategies

Studio design and layout consultation

Competitive analysis and market research

Website design and optimization

Social media management and content creation

Polepreneur LLC will use reasonable care and skill in the performance of these services. The Client acknowledges that Polepreneur LLC is an independent contractor and not an employee of the Client.

 

Term of Agreement

This agreement will commence on [Date] and will continue until [Date] or until the completion of the services, whichever occurs first.

 

Payment

The Client agrees to pay Polepreneur LLC [insert payment terms]. All payments are due [insert payment due date]. If the Client fails to make a payment when due, Polepreneur LLC may suspend performance of the services until the payment is received.

 

Right to Cancel

The Client has the right to cancel this agreement within 3 calendar days of the date of signing, as long as services have not yet been rendered by Polepreneur LLC. After the 3 calendar days have passed, no refunds will be provided.

 

Expenses

The Client will reimburse Polepreneur LLC for reasonable and necessary expenses incurred in connection with the performance of the services, including travel expenses. Polepreneur LLC will provide the Client with receipts for all expenses.

 

Confidentiality

Polepreneur LLC will keep confidential all information and materials provided by the Client and will use such information and materials only for the purpose of providing the services. Polepreneur LLC will not disclose any confidential information to any third party without the prior written consent of the Client.

 

Representations and Warranties

Polepreneur LLC represents and warrants that: (a) the services will be performed in a professional and workmanlike manner; and (b) Polepreneur LLC has the right to enter into this agreement and to perform the services.

 

Limitation of Liability

Polepreneur LLC will not be liable to the Client for any indirect, incidental, special, or consequential damages arising out of or in connection with the services. Polepreneur LLC's total liability to the Client for any damages arising out of or in connection with the services will not exceed the total amount paid by the Client under this agreement.

 

Termination

Either party may terminate this agreement at any time upon written notice to the other party. Upon termination, Polepreneur LLC will return all confidential information and materials provided by the Client and will cease use of such information and materials.

 

Governing Law

This agreement will be governed by the laws of the State of Texas.

 

Entire Agreement

This agreement constitutes the entire agreement between the parties and supersedes all prior negotiations, understandings, and agreements between the parties. This agreement may only be amended by a written instrument executed by both parties.

 

Assignment

The Client may not assign this agreement without the prior written consent of Polepreneur LLC.

 

Independent Contractor Status

The parties acknowledge that Polepreneur LLC is an independent contractor and not an employee of the Client. Polepreneur LLC will be responsible for all taxes, insurance, and other expenses incurred in connection with the performance of the services.

 

Notices

All notices under this agreement will be in writing and will be delivered by hand, by registered mail, or by overnight courier.
